By accessing or using the services provided by Osillation ("Company," "we," "us," or "our"), including our website, platform, APIs, and any associated software or services (collectively, the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting.

Osillation provides AI-powered business automation solutions designed to help organisations streamline operations, enhance decision-making, and accelerate growth. Our Services include, but are not limited to: - AI-Powered Workflow Automation: Intelligent automation tools that optimise and streamline business processes, reducing manual overhead and increasing operational efficiency. - AI Agents: Autonomous and semi-autonomous AI agents capable of executing tasks, managing workflows, and interacting with business systems on behalf of users. - Predictive Analytics: Advanced machine learning models that analyse historical and real-time data to generate actionable forecasts and business intelligence insights. - Revenue Intelligence: Data-driven tools that identify revenue opportunities, optimise pricing strategies, and provide comprehensive sales and market analytics. The specific features and functionality available to you may vary depending on your subscription plan, account type, and applicable service agreements. We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice.

3. User Accounts and Responsibilities

To access certain features of the Services, you may be required to create an account. When creating an account, you agree to: a) Provide accurate, current, and complete information during the registration process and keep your account information up to date. b) Maintain the security and confidentiality of your login credentials, including your password and any API keys or access tokens associated with your account. c) Accept full responsibility for all activities that occur under your account, whether or not authorised by you. d) Notify us immediately at info@osillation.com if you become aware of any unauthorised use of your account or any other breach of security. You must be at least 18 years of age to create an account and use the Services. By creating an account, you represent and warrant that you meet this age requirement. We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated any provision of these Terms, or if your use of the Services poses a security risk or may cause harm to us, other users, or third parties.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not: a) Use the Services in any way that violates any applicable local, national, or international law or regulation. b) Attempt to gain unauthorised access to any part of the Services, other accounts, computer systems, or networks connected to the Services. c) Use the Services to transmit any malicious code, viruses, or any other harmful or destructive content. d) Interfere with or disrupt the integrity or performance of the Services or the data contained therein. e) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used to provide the Services. f) Use the Services to develop a competing product or service, or to benchmark the Services without our prior written consent. g) Use automated means (including bots, scrapers, or crawlers) to access the Services without our express permission. h) Use the Services to generate, store, or disseminate content that is unlawful, defamatory, obscene, or otherwise objectionable.

5. Intellectual Property Rights

All intellectual property rights in and to the Services, including but not limited to software, algorithms, machine learning models, designs, text, graphics, logos, trademarks, and documentation, are and shall remain the exclusive property of Osillation and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited licence to use the Services in accordance with these Terms. You retain ownership of any data, content, or materials that you submit, upload, or transmit through the Services ("User Content"). By submitting User Content, you grant Osillation a non-exclusive, worldwide, royalty-free licence to use, process, store, and analyse such User Content solely for the purpose of providing and improving the Services. Any feedback, suggestions, or recommendations you provide regarding the Services ("Feedback") shall be the property of Osillation, and you hereby assign all rights in such Feedback to Osillation without any obligation of compensation or attribution.

6. Data Privacy and Security

Our collection and use of personal information in connection with the Services is governed by our Privacy Policy. By using the Services, you acknowledge and agree that you have read and understood our Privacy Policy. We implement commercially reasonable technical and organisational measures to protect the security, confidentiality, and integrity of data processed through the Services. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security. You are responsible for ensuring that any data you provide to the Services complies with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable.

By selecting a paid plan, you agree to pay all applicable fees as described on our pricing page or in a separate order form or service agreement. All fees are quoted in US Dollars unless otherwise specified. Fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. We reserve the right to change our pricing at any time, provided that we will give you at least thirty (30) days' notice prior to any price increase. Failure to pay any fees when due may result in suspension or termination of your access to the Services.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OSILLATION, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF OSILLATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OSILLATION'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO OSILLATION IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify, defend, and hold harmless Osillation and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and costs) arising out of or relating to: a) Your use of the Services or any activity conducted through your account. b) Your violation of these Terms or any applicable law or regulation. c) Your infringement or misappropriation of any intellectual property or other rights of any third party. d) Any User Content you submit, upload, or transmit through the Services. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. OSILLATION SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. OSILLATION DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. OSILLATION DOES NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICES, INCLUDING ANY AI-GENERATED OUTPUTS, PREDICTIONS, OR ANALYTICS, WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. YOU ACKNOWLEDGE THAT AI-POWERED SERVICES MAY PRODUCE OUTPUTS THAT ARE UNEXPECTED, INACCURATE, OR INCOMPLETE, AND YOU ASSUME ALL RISK ASSOCIATED WITH YOUR RELIANCE ON SUCH OUTPUTS.

11. Termination

Either party may terminate these Terms at any time for any reason. You may terminate your account by contacting us at info@osillation.com or by using the account deletion functionality within the Services, where available. We may suspend or terminate your access to the Services immediately, without prior notice or liability, if: a) You breach any provision of these Terms. b) We are required to do so by law or a governmental authority. c) We reasonably believe that your continued use of the Services poses a risk to the Services, other users, or third parties. d) Your account has been inactive for an extended period. Upon termination, your right to use the Services will cease immediately. Sections of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to intellectual property provisions, limitation of liability, indemnification, and governing law.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered in accordance with the rules of the London Court of International Arbitration (LCIA). The arbitration shall be conducted in London, United Kingdom, in the English language. The decision of the arbitrator shall be final and binding on both parties. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

13. Changes to These Terms

We reserve the right to update or modify these Terms at any time at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or through a prominent notice within the Services. Material changes to these Terms will be communicated at least thirty (30) days before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services. We encourage you to review these Terms periodically to stay informed of any updates.

14. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy and any applicable order forms or service agreements, constitute the entire agreement between you and Osillation with respect to the Services and supersede all prior or contemporaneous communications, whether oral or written. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. Waiver: The failure of Osillation to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction. Force Majeure: Osillation shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, or failures of third-party services.
